Terms and Conditions

1. About These Terms
These Terms and Conditions (Terms) govern your access to and use of the website, software application, mobile application, portal, services, features, documents, content, forms, notifications, communications and related products provided by Kohli Traders PTY LTD (ABN 61 631 530 240) trading as Abled Care & Nursing Services.
In these Terms, references to “we”, “us” and “our” mean Kohli Traders PTY LTD trading as Abled Care & Nursing Services. References to “you” and “your” mean the person accessing or using the Application, including a visitor, candidate, employee, contractor, client, representative, administrator or authorised user.
By accessing or using the Application, creating an account, logging in, uploading information, completing a form, signing a document, accepting an invitation, or continuing to use our services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Application.
2. Our Services and Application
The Application may support functions such as user accounts, client administration, employee and contractor administration, candidate onboarding, recruitment support, document management, forms, signatures, notifications, shift and rostering information, profile management, communications, reporting, AI-assisted tools and other administrative or operational workflows.
The Application is provided to support our business operations and services. It is not intended to replace professional, clinical, legal, medical, financial, employment, compliance or other specialist advice. You must use your own judgement and seek appropriate advice where required.
3. Eligibility and Authorised Use
You may only use the Application if you are authorised by us, invited by us, or otherwise permitted to access the relevant service or feature. You must only access information, documents, clients, shifts, forms, records and features that you are authorised to access.
You must not access the Application on behalf of another person unless you are lawfully authorised to do so. You must not impersonate another person, provide false information, or use another user’s login details.
4. Account Security
You are responsible for keeping your login details secure and confidential. You must notify us immediately if you believe your account has been accessed without authorisation or if your login details have been lost, stolen or compromised.
We may suspend or restrict access to an account where we reasonably believe there is a security risk, unauthorised access, misuse, suspected breach of these Terms, or a legal, safety, privacy or compliance concern.
5. Your Responsibilities
When using the Application, you agree that you will:
- provide accurate, current and complete information where required;
- keep your profile, contact details and required documents up to date;
- only upload information, documents, photos, signatures or content that you are authorised to provide;
- comply with applicable laws, regulations, workplace policies, service rules and confidentiality obligations;
- respect the privacy, dignity, safety and rights of clients, candidates, employees, contractors and other users;
- not misuse, copy, scrape, reverse engineer, disrupt, damage, overload or interfere with the Application;
- not upload viruses, malware, unlawful content, misleading information or harmful material;
- not use the Application for harassment, intimidation, discrimination, abuse, fraud or unlawful conduct;
- not access, disclose, copy, download or share information unless authorised and necessary for your role or purpose; and
- promptly report errors, unauthorised access, privacy incidents, safety concerns or suspected misuse.
6. Confidentiality and Care-Related Information
The Application may contain confidential, sensitive, health, disability, support, employment, candidate, client, business and operational information. You must keep this information confidential and only use or disclose it for authorised purposes.
You must not use client, employee, contractor, candidate or business information for personal purposes or disclose it to unauthorised persons. This obligation continues after your access to the Application ends.
7. Candidate, Employee and Contractor Information
If you apply for a role, complete onboarding, become an employee or contractor, or are invited to use the Application, you may be required to provide information such as your resume, work history, qualifications, certificates, identity details, right-to-work information, screening documents, profile information, emergency contacts and other information relevant to recruitment, onboarding, employment, contracting, compliance or service delivery.
You are responsible for ensuring the information you provide is accurate, not misleading, and does not infringe another person’s rights. We may use this information to assess suitability, complete onboarding, create or update your profile, manage compliance, allocate work where appropriate, maintain records and administer our services.
8. AI-Assisted Administrative Features
The Application may include artificial intelligence (AI) assisted features that are primarily designed for authorised administrators, managers, supervisors or other approved business users. These tools may support administrative and workflow tasks such as resume scanning, profile drafting, form extraction, document summarisation, shift note review, quality checks, suggested content, notifications, workflow assistance and other internal operational functions.
Employees, contractors, candidates and clients are not responsible for approving, validating or managing AI-assisted administrative outputs unless we expressly give them access to a specific feature for that purpose. Where an AI-assisted feature affects information about you, you may be asked to review, confirm or correct your own information, such as suggested profile details created from your resume or onboarding documents.
AI-generated output is provided as a draft, suggestion or support tool only. It may be inaccurate, incomplete, outdated, unsuitable or require correction. Authorised administrators or business users must review AI-generated content before relying on it, publishing it, saving it to an official record, or using it for employment, onboarding, rostering, care-related, compliance or service-related purposes.
We do not guarantee that AI-generated output will be accurate, complete, suitable or free from error. To the maximum extent permitted by law, we are not responsible for loss caused by unauthorised use of AI-assisted features or failure by authorised users to review, correct or verify AI-generated output before using it.
9. AI Resume Scanning and Profile Suggestions
When a candidate becomes an employee or contractor, or as part of onboarding, we may use AI-assisted resume scanning to help authorised administrators prepare suggested profile information, including About Me content, work experience, skills, qualifications, training information and related profile fields.
AI-generated profile information remains a draft until reviewed and accepted by an authorised administrator or business user. A candidate, employee or contractor may also be asked to review, confirm or correct their own profile information before or after it is saved.
We do not use AI-generated resume or profile suggestions as the sole basis for employment, onboarding, rostering, disciplinary, care-related or service-related decisions. Human review is required before AI-generated information is treated as part of an official profile or record.
You must not upload a resume or document containing information you are not authorised to provide. If your document includes sensitive or third-party information, you confirm that you are authorised to provide it for the relevant recruitment, onboarding, employment, contracting, compliance or administrative purpose.
10. Electronic Forms, Signatures and Records
The Application may allow you to complete forms, upload documents, submit answers, provide approvals, sign documents electronically, or confirm information. By submitting a form, signature, approval or confirmation, you represent that the information is accurate to the best of your knowledge and that you are authorised to submit it.
Electronic submissions, signatures, timestamps, audit logs and related records may be used for administrative, compliance, audit, employment, service delivery and record-keeping purposes.
11. Notifications and Communications
We may send you communications related to your account, onboarding, documents, forms, signatures, shifts, reminders, alerts, support, security, compliance, service updates and other operational matters by email, SMS, phone, push notification, in-app notification, post or other appropriate methods.
You are responsible for keeping your contact details up to date and checking relevant notifications and messages.
12. Third-Party Services and Integrations
The Application may use or integrate with third-party services, including cloud hosting, email, calendar, SMS, push notification, storage, document processing, analytics, AI providers, identity, payment, mapping, communication and support services.
We are not responsible for third-party services except to the extent required by law. Your use of third-party services may be subject to separate terms and privacy policies issued by those providers.
13. Intellectual Property
The Application, website, software, design, layout, text, graphics, icons, logos, code, documents, templates, workflows, forms and other content made available by us are owned by, licensed to, or controlled by us and are protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Application for authorised purposes only. You must not copy, reproduce, modify, distribute, sell, lease, reverse engineer, frame, scrape or exploit any part of the Application except as expressly authorised by us or permitted by law.
14. User Content and Uploaded Material
You retain ownership of content and documents you lawfully upload or submit, subject to any rights held by others. By uploading or submitting content, you grant us a licence to host, store, process, transmit, copy, use and disclose that content as reasonably necessary to provide, secure, administer, improve and support the Application and our services.
You warrant that uploaded content does not infringe another person’s rights, breach confidentiality, contain unlawful material, or include information you are not authorised to provide.
15. Privacy
We handle personal information in accordance with our Privacy Policy. Our Privacy Policy explains how we collect, use, disclose, store and protect personal information, including information processed through AI-assisted features.
By using the Application, you acknowledge that your personal information will be handled in accordance with our Privacy Policy and any relevant collection notices.
16. Availability, Changes and Maintenance
We aim to keep the Application available and functioning, but we do not guarantee uninterrupted, error-free or secure access. The Application may be unavailable due to maintenance, updates, outages, technical issues, third-party failures, security events or circumstances outside our reasonable control.
We may update, modify, suspend, replace, restrict or discontinue any part of the Application at any time, subject to applicable law and any written agreement that applies to your relationship with us.
17. Payments, Fees and Paid Services
If any paid services, subscription fees, service fees or charges apply, they will be set out in a separate agreement, invoice, service document, payment page or written arrangement. You must pay applicable fees in accordance with the relevant payment terms.
To the extent permitted by law, fees are non-refundable except where required under the Australian Consumer Law, another applicable law, or a separate written agreement with us.
18. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or protection under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.
Where we are permitted by law to limit our liability, our liability is limited, at our option, to resupplying the relevant services, paying the cost of resupplying the relevant services, replacing goods, repairing goods, or paying the cost of replacing or repairing goods, as applicable.
19. Disclaimers
To the maximum extent permitted by law, the Application and related content are provided on an “as is” and “as available” basis. We do not guarantee that the Application will be uninterrupted, secure, error-free, suitable for your specific purpose, or free from viruses or harmful components.
Information provided through the Application may be general, administrative or operational in nature and may not account for your specific circumstances. You should verify important information and seek appropriate advice where necessary.
20. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, loss of profit, loss of revenue, loss of goodwill, loss of opportunity, loss of data, business interruption, system failure, or loss arising from unauthorised access, except to the extent caused by our breach of a non-excludable legal obligation.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms, the Application or your use of the Application is limited to the amount paid by you to us for the relevant service in the 12 months before the event giving rise to the claim, or AUD $100 if no amount was paid, except where a different limitation applies under a separate written agreement or where liability cannot lawfully be limited.
21. Indemnity
To the extent permitted by law, you indemnify us, our officers, employees, contractors, agents and related parties against loss, damage, liability, cost or expense arising from your breach of these Terms, misuse of the Application, unauthorised access or disclosure, unlawful conduct, uploaded content, false or misleading information, or infringement of another person’s rights.
22. Suspension and Termination
We may suspend, restrict or terminate your access to the Application where we reasonably believe that you have breached these Terms, misused the Application, created a security, privacy, legal, safety or compliance risk, or where access is no longer required or authorised.
You may stop using the Application at any time. Stopping use of the Application does not affect obligations that have already arisen, including confidentiality, payment, record-keeping, privacy, intellectual property, indemnity and liability provisions.
23. Complaints and Dispute Resolution
If you have a concern or dispute about the Application or these Terms, please contact us first so we can attempt to resolve the matter. You agree to cooperate in good faith to resolve disputes before commencing formal proceedings, except where urgent relief is required.
Nothing in this clause prevents you from exercising rights that cannot be excluded under Australian law, including rights to contact a regulator, tribunal or court where applicable.
24. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be published on this page with a new effective date. Unless stated otherwise, updated Terms apply from the date they are published.
If a change materially affects your rights or obligations, we will take reasonable steps to notify affected users, such as through the Application, email, account notice or website notice. If you do not agree to updated Terms, you must stop using the Application. Continued use after the updated Terms take effect will be treated as acceptance of the updated Terms to the extent permitted by law.
25. Governing Law and Jurisdiction
These Terms are governed by the laws of New South Wales, Australia, unless another Australian jurisdiction is required by an applicable written agreement or law. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia and any courts entitled to hear appeals from those courts.
